The parties to this agreement are Fiji Sales & Marketing, Inc., doing business as South Pacific Holidays, hereinafter referred to as SPH and retail travel sellers, hereinafter referred to as Agent.
It is agreed between the parties that Agent will be a member of fijiagent.com. This membership entitles Agent to the following benefits:
- Information concerning accommodations, activities, cruises, and amenities for vacation planning in the Fiji Islands.
- Brochures concerning the Fiji Islands to include a comprehensive full-color brochure showcasing vacation choices along with a pricing guide.
- Access to South Pacific Holidays’ travel agent workshops and seminars along with materials used at those seminars to include the “Fiji Fact Manual” in hardcover and CD.
- Access to customers and consumers who contact South Pacific Holidays for more information. A list of member agents of fijiagent.com will be maintained by South Pacific Holidays. Consumers will be referred to the agents on this list in a sequential fashion.
- Free access to South Pacific Holidays’ staff by appointment or during regular business hours.
SPH reserves the right to select agents to participate in a marketing partnership to develop their own website location to sell and book vacation opportunities in the Fiji Islands.
On SPH’s request, Agent shall demonstrate accreditation by providing ARC number, other accreditation company name and number, or a business license to provide retail travel services.
Agent will lose membership in fijiagent.com if it books no customers on the list of resorts and properties that are attached during any consecutive ninety (90) day period.
SPH will offer incentives for bookings made by the agents based on your country of residence and booking.
Fijiagent.com and information contained on fijiagent.com is the sole and exclusive property of SPH. Agent may make use of the information learned pursuant to this contract to book customers to properties listed on the attached exhibit and for no other purpose. Violation of this provision will allow SPH to terminate Agent’s utilization of fijiagent.com and to terminate this agreement. It will also SPH to obtain an injunction against Agent prohibiting further violations without the necessity of SPH posting any bond. It shall also entitle SPH to the receipt of any commissions earned by Agent through utilization of information learned through this contractual relationship.
The term of this agreement shall be for one year unless sooner terminated under the terms of this agreement. SPH reserves, however, the right to terminate fijiagent.com as a website at any time.
U.S.A. Addendum : Any litigation arising out of this agreement shall be commenced in the Superior Court of the State of Washington for the County of Clark. The prevailing party in any such litigation shall be entitled to an award of attorney’s fees and all costs expended both at trial and on appeal.
